THE HUDDLE, LLC — MEMBER AGREEMENT

Version 1.0

This Member Agreement ("Agreement") is entered into as of the date of execution set forth below (the "Effective Date"), by and between The Huddle, LLC, a Colorado limited liability company ("The Huddle" or "Company"), and the individual or entity identified in the signature block below ("Member").

By signing this Agreement, Member agrees to be bound by all terms and conditions set forth herein. Please read this Agreement carefully before executing.

1. Membership and Services

1.1 Description of Services. The Huddle is a membership-based community designed for business builders. In consideration of the membership fees described herein, The Huddle will provide Member with access to the following services (collectively, the "Services"):

(a) Ten (10) in-person or virtual meetings per membership year, the schedule and format of which shall be determined by The Huddle in its reasonable discretion;

(b) Access to The Huddle's private online discussion forum hosted via Slack (or a comparable platform as determined by The Huddle), for the purpose of peer discussion, networking, and ongoing collaboration among members; and

(c) Such additional resources, materials, or programming as The Huddle may offer from time to time, which may be subject to separate terms.

1.2 Meeting Format. The Huddle reserves the right to determine, in its sole discretion, whether any scheduled meeting will be held in person or virtually. The Huddle will provide reasonable advance notice of meeting format and location.

1.3 No Guarantee of Outcomes. Member acknowledges and agrees that membership in The Huddle does not guarantee any particular business outcome, revenue result, or professional benefit.

2. Membership Fees and Payment

Option A — Monthly Payment Plan: Available for Virtual Membership only. Member agrees to pay $250 per month for a minimum term of twelve (12) consecutive months. The total minimum financial commitment under this option is $3,000.

Option B — Annual Payment: Member agrees to pay the applicable annual fee ($3,500 for In-Person Membership; $2,500 for Virtual Membership) per membership year, due in full at the time of execution and on each annual renewal date thereafter.

2.2 Automatic Renewal. This Agreement and Member's payment obligation will automatically renew at the end of each term at the then-current membership rate, unless canceled in accordance with Section 3 below.

2.3 Payment Method. Member authorizes The Huddle to charge the payment method provided at the time of execution for all fees due under this Agreement.

2.4 Failed Payments. If any payment is declined or otherwise fails, The Huddle will notify Member and Member will have ten (10) days to cure the deficiency.

2.5 No Refunds. All membership fees paid are non-refundable except as required by applicable law.

2.6 Fee Adjustments. The Huddle reserves the right to adjust membership fees at any renewal period upon no less than thirty (30) days' prior written notice to Member.

3. Term and Cancellation

3.1 Initial Term. This Agreement begins on the Effective Date and continues for a minimum period of twelve (12) months, subject to automatic renewal.

3.2 Cancellation by Member. Member may cancel this Agreement by providing written notice no less than thirty (30) days prior to the end of the then-current term via email to [cancellation@thehuddle.com] or by certified mail to The Huddle's principal place of business.

3.3 Effect of Cancellation. Upon valid cancellation, Member's access to the Services will continue through the end of the paid term. No partial-period refunds will be issued.

3.4 Early Termination. Member may not terminate this Agreement prior to the expiration of the Initial Term without paying all remaining fees due through the end of the Initial Term, unless The Huddle agrees otherwise in writing.

3.5 Termination by The Huddle. The Huddle reserves the right to terminate this Agreement immediately and without refund if Member violates any provision of this Agreement, or for any other reason upon thirty (30) days' written notice to Member.

4. Member Conduct and Community Standards

4.1 Member agrees to engage with all members and staff in a professional, respectful, and constructive manner. Member agrees not to harass, defame, discriminate against, or otherwise harm any other member or third party.

4.2 Member agrees not to solicit other members inappropriately, share confidential information without consent, engage in any unlawful activity, or transmit spam or harmful content through any The Huddle platform.

4.3 Confidentiality Among Members. Member agrees to treat all information shared by other members as confidential and not to disclose or use such information outside of The Huddle community without express consent. This obligation survives termination of this Agreement.

5. Intellectual Property

5.1 All materials, curricula, frameworks, content, and resources provided by The Huddle are the exclusive property of The Huddle, LLC. Member is granted a limited, non-exclusive, non-transferable license to use Company Content solely for Member's own personal and business purposes during the term of this Agreement.

5.2 Member retains all rights to any content, ideas, or intellectual property that Member shares within The Huddle community.

6. Indemnification

Member agrees to defend, indemnify, and hold harmless The Huddle, LLC and its members, managers, officers, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses arising out of or relating to Member's use of the Services, breach of this Agreement, or violation of any applicable law.

7. Limitation of Liability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE HUDDLE'S TOTAL LIABILITY TO MEMBER FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL FEES PAID BY MEMBER IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL THE HUDDLE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

8. Electronic Communications and Signatures

By entering into this Agreement, Member expressly consents to receive all communications from The Huddle electronically. Member agrees that electronic signatures (including typed name or checkbox acceptance) are legally binding and shall have the same force and effect as original wet-ink signatures.

9. Dispute Resolution

9.1 Governing Law: State of Colorado. 9.2 The parties agree to attempt informal resolution through good-faith negotiation for thirty (30) days before initiating formal proceedings. 9.3 Unresolved disputes shall be submitted to binding arbitration administered by the American Arbitration Association in Denver, Colorado. 9.4 MEMBER WAIVES ANY RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST THE HUDDLE.

10. General Provisions

This Agreement constitutes the entire agreement between the parties. The Huddle reserves the right to amend this Agreement upon thirty (30) days' written notice. Member may not assign this Agreement without The Huddle's prior written consent.

11. Membership Tiers

In-Person Membership: $3,500/year, annual payment only. Virtual Membership: $2,500/year (annual) or $250/month with a 12-month minimum commitment. Each tier provides access to all ten (10) scheduled meetings per membership year and full access to The Huddle's online community forum.

12. Membership Application and Right to Decline

The Huddle is a curated, selective membership community. The Huddle reserves the right to decline any application for membership or to decline to renew any membership, in its sole discretion, provided such decisions are not based on any characteristic protected under applicable federal, state, or local law.

13. Recording Consent and Photography

BY EXECUTING THIS AGREEMENT, MEMBER EXPRESSLY CONSENTS TO THE AUDIO AND VIDEO RECORDING OF ALL VIRTUAL MEETINGS IN WHICH MEMBER PARTICIPATES. This consent applies for the duration of Member's membership. Member acknowledges that virtual meetings may include participants in states with all-party or two-party consent laws.

BY EXECUTING THIS AGREEMENT, MEMBER EXPRESSLY CONSENTS TO BEING PHOTOGRAPHED AT IN-PERSON HUDDLE MEETINGS AND TO THE USE OF SUCH PHOTOGRAPHS BY THE HUDDLE FOR COMMUNITY DOCUMENTATION, MARKETING, THE HUDDLE'S WEBSITE, AND SOCIAL MEDIA. Member may opt out by contacting team@findmyhuddle.com.

14. Member Intellectual Property

Member retains full ownership of all intellectual property shared within The Huddle community. Each member agrees not to use any other member's IP for their own commercial or competitive purposes without prior written consent. These obligations survive termination of this Agreement.

15–25. Additional Provisions

This Agreement also includes provisions governing Huddle-produced materials, in-person meeting liability, third-party platforms, guest policy, referral credits, billing disputes, anti-disparagement, death or incapacity, member-to-member disputes, membership pause, and updated dispute resolution provisions. State-specific addenda for Colorado, California, New York, Arkansas, Minnesota, Utah, Virginia, Massachusetts, Maine, Maryland, and Connecticut residents are incorporated into this Agreement and available at http://www.findmyhuddle.com or upon request.

THE HUDDLE, LLC — PRIVACY POLICY

1. Who We Are

The Huddle, LLC ("The Huddle," "we," "us," or "our") is a Colorado limited liability company operating a curated membership community for business builders. We provide in-person and virtual meetings, an online community forum, and related resources to our members.

This Privacy Policy explains how The Huddle collects, uses, stores, discloses, and protects personal information in connection with our membership services, website (www.findmyhuddle.com), and community platforms. For privacy-related questions: team@findmyhuddle.com

2. Information We Collect

Information You Provide Directly: When you apply for membership, we collect your name, email address, phone number, business name, title, LinkedIn or professional profile URL, and information about your business and professional background. Payment information is processed by our third-party payment processor and not stored directly on our systems in unencrypted form.

Recording and Photography: With your prior consent, The Huddle records virtual meetings (audio, video, and screen-share content) and engages photographers at in-person events.

Information Collected Automatically: When you visit http://www.findmyhuddle.com, we automatically collect technical information including your IP address, browser type, operating system, and pages visited. We use cookies and similar tracking technologies.

Information from Third Parties: We may receive information from third parties, including referrals from existing members and publicly available professional profiles.

3. How We Use Your Information

We use personal information for membership administration, service delivery, community operations, communications, compliance with legal obligations, safety and fraud prevention, and internal business operations. We do not sell your personal information to third parties. We do not use your personal information to serve you third-party advertising.

4. How We Share Your Information

We share personal information with service providers performing services on our behalf. Your name and business profile are visible to other members in The Huddle's community forum and member directory. We may disclose information when required by law or in connection with a business transfer. We do not share member information with third parties for their own marketing purposes.

5. Data Retention

Membership records are retained for the duration of your membership plus seven (7) years. Payment records are retained for seven (7) years. Recording consent records are retained for a minimum of three (3) years following the end of your membership. You may request deletion of your posted content by contacting team@findmyhuddle.com.

6. Your Rights and Choices

Depending on your state of residence, you may have the right to access, correct, delete, or obtain a portable copy of your personal information. You may opt out of marketing communications at any time. To exercise any privacy rights, contact team@findmyhuddle.com.

7. State-Specific Privacy Rights

Additional rights apply to residents of California (CCPA/CPRA), Virginia (CDPA), Colorado (CPA), Connecticut, Utah, Texas, Montana, Oregon, and other states with comprehensive privacy laws. Contact team@findmyhuddle.com to exercise any state privacy right.

8. Cookies and Tracking Technologies

Our website uses cookies to operate and improve the site and analyze usage. You can control cookies through your browser settings. We do not use cookies for cross-site behavioral advertising or third-party tracking for advertising purposes.

9. Data Security

We implement commercially reasonable technical and organizational measures to protect personal information. No method of transmission over the internet is completely secure. In the event of a data breach, we will notify you and applicable regulatory authorities as required by applicable law.

10. Children's Privacy

The Huddle's services are intended exclusively for adults engaged in business activities. We do not knowingly collect personal information from individuals under the age of 18.

11–14. Third-Party Platforms, International Users, Policy Changes, and Contact

The Huddle's services involve third-party platforms including Slack and video conferencing services, each with their own privacy policies. Our services are directed to U.S. residents. We may update this Privacy Policy from time to time with at least thirty (30) days' notice before material changes take effect for current members. For any questions, contact team@findmyhuddle.com.
